Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you and ABIB Ltd. By accessing the Mr.Prompty platform ("the Service"), you agree to comply with these Terms. If you are using the Service on behalf of a company, you represent that you have the authority to bind that entity.

2. Intellectual Property Rights

2.1 Our Property

All rights, titles, and interests in and to the Service, including but not limited to the website design, software code, algorithms, "Mr.Prompty" branding, logos, and technical infrastructure, are the exclusive property of ABIB Ltd. and its licensors. You are granted a limited, non-exclusive, non-transferable license to access the Service for its intended purpose.

2.2 User Input

You retain all ownership rights to the data, text, or instructions you provide to the Service ("Input"). You grant ABIB Ltd. a license to use the Input solely to provide, maintain, and improve the Service in accordance with our Privacy Policy.

2.3 Output Content

Subject to your compliance with these Terms and full payment of applicable fees, ABIB Ltd. hereby assigns to you all its right, title, and interest in and to the responses or data generated by the Service based on your Input ("Output").

2.4 Feedback

If you provide us with suggestions or feedback, we may use such information without any obligation or compensation to you.

3. Subscription, Credits, and Payments

• Credit-Based System: Our Service operates on a credit system. Credits are purchased via monthly or annual plans.
• Expiration: Credits are "use-it-or-lose-it." Any unused credits expire at the end of each billing cycle (monthly or annually) and do not roll over.
• Payment Processor: Payments are handled by Stripe. By subscribing, you agree to Stripe’s terms and authorize us to charge your payment method for the selected plan.
• Refunds: Under EU law, you have a 14-day right of withdrawal. However, you explicitly agree that by using any credits or initiating an AI task, you waive this right, as the digital service performance has begun.

4. User Conduct and Restrictions

You agree not to:

• Use the Service to generate content that is illegal, harmful, or promotes violence.
• Circumvent the credit system or attempt to "jailbreak" the AI models.
• Reverse-engineer the Service or scrape data to train competing AI models.
• Use the Service in a way that violates the rights of others, including IP rights.

5. AI Agent & Third-Party Sites

5.1 Private Browser Authentication

Mr.Prompty provides an interface for AI agents to operate within a browser. While we facilitate this, we do not store or access your third-party credentials. You are responsible for ensuring that the agent’s actions on third-party sites comply with those sites' terms.

5.2 Hosting

The Service is hosted on Google Cloud Platform. Service availability is subject to Google’s uptime and infrastructure reliability.

6. Content Sharing Features

If you choose to use the "Content Sharing" feature, you acknowledge that the shared Output becomes public. You are responsible for ensuring that any shared content does not contain sensitive personal information or violate third-party IP.

7. Disclaimers and Limitation of Liability

"As-Is" Basis: The Service is provided without warranties of any kind. AI can "hallucinate" or provide incorrect data. You should verify all Output.

Liability Cap: To the maximum extent permitted by Bulgarian law, ABIB Ltd.’s total liability for any claim arising out of these Terms shall not exceed the total amount paid by you to ABIB Ltd. in the six (6) months preceding the claim.

8. Indemnification

You agree to indemnify and hold ABIB Ltd. harmless from any claims, damages, or expenses (including legal fees) arising from:

• Your violation of these Terms.
• Your Input or the use of Output in a way that infringes on third-party rights.
• Actions taken by the AI agent on your behalf on third-party websites.

9. Term and Termination

We may suspend or terminate your access immediately if you breach these Terms. You may stop using the Service at any time. Upon termination, your right to use any remaining credits ceases immediately without a refund.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Bulgaria. Any dispute arising from these Terms shall be settled by the competent courts in Bulgaria. If you are an EU consumer, you may also have the right to submit a complaint via the EU Online Dispute Resolution (ODR) platform.
